Penske Automotive Group, Inc. (NYSE: PAG) today announced the pricing of a secondary offering of 5.0 million shares of PAG common stock at $14.50 per share. The selling stockholder is Penske Corporation (see information below). Penske Corporation also has granted the underwriters for the public offering a 30-day option to purchase 0.75 million additional shares to cover over-allotments, if any. The offering is expected to close on February 9, 2010.

Penske Automotive Group will not issue any new shares in the offering and will not receive any proceeds from the offering. Further, the offering will not be dilutive to PAG stockholders.

Roger Penske is not selling any of the PAG stock that he owns personally and, upon completion of the proposed offering, is expected to continue to own, directly and through Penske Corporation, 31.7 million (35%) of PAG's outstanding common stock. Pursuant to a voting agreement between Penske Corporation and its second largest stockholder, Mitsui, Penske Corporation and Mr. Penske are expected to have majority voting control (52%) of PAG's outstanding common stock upon completion of the offering. These share amounts assume the underwriters will exercise the over-allotment option in full.

BofA Merrill Lynch and J.P. Morgan are acting as joint book-running managers for this offering.

Suspect arrested in Hayward double slaying - San Francisco Chronicle

Karl George Sanft, 34, allegedly stabbed security guard Angelito Erasquin, 63, just outside the sprawling Manheim San Francisco Bay auto-auction business early Tuesday, then stabbed truck driver Jim Wightman, 56, because he was a witness, said Hayward police Capt. Darryl McAllister.

Police suspect that Sanft's original motive was car theft. They say he drove to the business just east of Interstate 880 in a Mitsubishi Mirage and used the car to ram through the locked front gate. After the slayings, he allegedly stole a Chevrolet Trailblazer from the lot and drove off.

Sunnyvale police found him Tuesday afternoon in the stolen SUV on San Saba Court near Highway 101, where residents thought there was something suspicious about the vehicle and called officers, said Sunnyvale police Capt. Doug Moretto. Officers booked Sanft on suspicion of possessing a stolen car.

Other evidence linked him to the Hayward killings, and Sanft was booked Thursday morning on suspicion of murder, McAllister said. He would not elaborate on what the evidence was.

Police say Sanft acted alone in what McAllister described as a "brutal crime" that prompted a "gut-wrenching, exhaustive investigation."

Investigators believe that Sanft, 6-foot-3 and 314 pounds, overpowered the smaller Erasquin and Wightman and stabbed them numerous times. A large knife believed to be the weapon was recovered, but police declined to provide details.

Sanft is a father of three who worked as a carpenter until being laid off in recent years, Alameda County court records show.

He has convictions dating back to 1997 for attempted robbery, reckless driving, disturbing the peace and domestic violence, the records show. He was arrested last year for allegedly possessing drug paraphernalia, but the case was dismissed.

Also last year, Sanft pleaded no contest to violating a stay-away order for following his estranged wife as she drove from Newark to San Leandro, records show. Officers who stopped him found binoculars, a video camera and a telescope in his car, the records said.

In the attempted-robbery case, Sanft was convicted of trying to rob a man at a Motel 6 in Fremont. His attorney in that case, Todd Bequette, said Thursday, "Without an understanding of the facts of the case, I can only say that this conduct seems completely out of character for Mr. Sanft."

Erasquin, who lived in Hayward and was three months' shy of retirement, was found on Addison Way just outside the front gate of the auto-auction business about 5:30 a.m. Tuesday. Police believe he was killed as he encountered Sanft.

When officers searched the 73-acre lot, they found Wightman's body in his big rig. The truck was still idling.

Wightman, who lived in Central Point, Ore., "probably witnessed some or all of what was going on with the commotion there and was eventually targeted by Mr. Sanft as a potential witness," McAllister said.

Family members of the victims voiced relief that an arrest had been made.

"I'm definitely happier that he's not running around and would do this to somebody again," said Clinton Perry, Wightman's son-in-law.

Sanft is being held without bail at Santa Rita Jail in Dublin on suspicion of murder, receiving stolen property and auto theft. He is expected to be arraigned today at the Hayward Hall of Justice and could face the death penalty if prosecutors charge him with murder and the special circumstance alleging he committed more than one murder.
